1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the EVNT event registration platform ("Platform"), including all related websites, services, and applications. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

These Terms apply to all users of the Platform, including event attendees who register for events, event organizers ("Organizers") who create and manage events, and any other visitors. Additional terms may apply to specific features or services, including our Privacy Policy.

2. Description of the Platform

EVNT is a multi-tenant event management platform that provides the following services:

• Event creation, configuration, and management for Organizers
• Online event registration and ticket purchasing for Attendees
• Secure payment processing via credit card (Stripe) and wire transfer
• Automated generation and delivery of digital badges (PDF with QR codes) and invoices
• Attendee management, check-in tracking, and event statistics
• Customizable email communications and templates for event-related notifications
• Discount code management for promotional pricing

The Platform operates on a per-event basis, where each event has its own isolated data environment managed by the respective Organizer.

3. User Accounts and Registration

3.1 Account Creation

Certain features of the Platform require an account. When creating an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Event Registration

When registering for an event as an Attendee, you must provide accurate personal information as required by the registration form. This information will be shared with the event Organizer and used to generate your event credentials (badge, invoice). You are responsible for ensuring all information is correct, as it will appear on your official event documents.

3.3 Account Security

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Payments and Financial Terms

4.1 Payment Processing

The Platform facilitates payment processing through Stripe for credit and debit card transactions, and supports wire transfer payments confirmed manually by the Organizer.

4.2 Pricing and Fees

Event ticket prices are set by the respective Organizer and displayed in the currency specified on the event page. The Platform may apply service fees or processing charges, which will be clearly disclosed before you complete your purchase. Organizers may offer discount codes that reduce the ticket price; such codes are subject to their own terms and conditions as set by the Organizer.

4.3 Refunds

Refund policies are determined by each event Organizer. The Platform facilitates refunds but does not independently determine refund eligibility except as required by applicable law.

5. Acceptable Use

You agree not to use the Platform for any unlawful purpose or in any way that could damage, disable, or impair the Platform. Specifically, you agree not to:

• Provide false or misleading registration information
• Use the Platform to conduct fraudulent transactions or payment activities
• Attempt to gain unauthorized access to the Platform, other user accounts, or event data
• Use automated systems (bots, scrapers) to access the Platform without permission
• Interfere with the Platform's infrastructure, security features, or other users' access
• Use discount codes in an unauthorized or fraudulent manner
• Resell or commercially exploit tickets in violation of the event Organizer's policies
• Upload or transmit malicious code, viruses, or harmful data
• Violate any applicable laws, regulations, or third-party rights

We reserve the right to suspend or terminate your access to the Platform if you violate these acceptable use provisions.

6. Event Organizer Responsibilities

If you use the Platform as an Organizer, you are responsible for:

• Providing accurate and complete event information, including dates, location, and pricing
• Configuring registration packages, custom fields, and discount codes appropriately
• Managing attendee data in compliance with applicable data protection laws
• Fulfilling all obligations to Attendees, including delivering the promised event experience
• Handling refunds, disputes, and customer service inquiries related to your events
• Ensuring email communications sent through the Platform comply with applicable anti-spam laws
• Maintaining the confidentiality of your Stripe account and API credentials

The Platform provides tools to facilitate event management, but Organizers remain solely responsible for the content, execution, and obligations related to their events.

7. Intellectual Property

7.1 Platform Content

The Platform, including its design, software, text, graphics, logos, and other content, is the property of EVNT and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Platform content without our prior written consent.

7.2 User Content

You retain ownership of any content you submit to the Platform (e.g., event descriptions, images, registration data). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process that content solely for the purpose of providing and improving the Platform's services.

7.3 Generated Documents

Digital badges, invoices, and other documents generated by the Platform using your data are provided for the intended event and transactional purposes only. These documents may contain Platform branding and are generated using templates owned by the Platform or the respective Organizer.

8. Disclaimers and Limitation of Liability

8.1 Platform Availability

The Platform is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Platform at any time without prior notice.

8.2 Third-Party Services

The Platform integrates with third-party services including Stripe for payments and email delivery providers. We are not responsible for the availability, accuracy, or reliability of these third-party services. Any issues arising from third-party services are subject to the respective third party's terms and conditions.

8.3 Limitation of Liability

To the maximum extent permitted by applicable law, EVNT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Platform. Our total aggregate liability for any claims arising from or related to these Terms shall not exceed the amounts you have paid to EVNT in the twelve (12) months preceding the claim.

8.4 Event Disclaimer

EVNT is a technology platform that facilitates event management and registration. We are not the organizer of events listed on the Platform (unless explicitly stated) and do not assume any responsibility for the quality, safety, or legality of events, the accuracy of event listings, or the ability of Organizers to deliver the promised event experience.

9. Indemnification

You agree to indemnify and hold harmless EVNT, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

You may stop using the Platform at any time. If you are an Organizer with active events, you remain responsible for fulfilling obligations to registered Attendees prior to termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which EVNT operates, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved in the competent courts of that jurisdiction, unless otherwise required by mandatory consumer protection laws in your country of residence.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Platform.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and EVNT regarding your use of the Platform.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

The failure of EVNT to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. EVNT may assign its rights and obligations under these Terms without restriction.
